About the role
- Corporate Governance Lawyer advising boards and executives on governance, securities, and public-company compliance. Supporting Axiom’s on-demand legal talent platform serving legal departments globally.
Responsibilities
- Advise the Board of Directors and executive leadership on corporate governance matters, including fiduciary duties, board processes, and best practices.
- Draft, review, and maintain corporate governance documents, including bylaws, charters, policies, resolutions, and committee materials.
- Support public company compliance obligations, including proxy statements, annual meetings, SEC filings, and disclosure requirements.
- Oversee entity management, corporate records, and subsidiary governance to ensure compliance with applicable laws and internal standards.
Requirements
- 6+ years of experience in corporate governance, securities, or public company representation
- Strong knowledge of corporate law, SEC regulations, proxy rules, and board governance practices
- Actively licensed and in good standing in Ontario or Alberta
- Successful completion of a background check may be required
- Proof of identity may be required
- Necessary legal authorization to work is required
