About the role

  • Senior legal advisor supporting Desjardins, North America’s largest cooperative financial group, on acquisitions and corporate transactions. Advising on governance, regulatory filings, restructurings and strategic investments.

Responsibilities

  • Support the non-organic growth of various business sectors by participating in acquisition initiatives
  • Act as legal advisor in strategic transactional and corporate files, including strategic investment files
  • Manage the portfolio of Desjardins Group companies, particularly through mergers, corporate reorganizations, intercompany financing, liquidations and dissolutions
  • Provide opinions on various aspects of transactional and corporate law and companies
  • Draft, review and negotiate transactional or corporate documents, including articles, bylaws, resolutions, shareholder agreements, share or asset acquisition agreements, partnership agreements, subscription agreements, delegation of authority, mandates and other corporate documents
  • Manage mandates assigned to external legal advisors for major and strategic transactions
  • Analyze applicable regulations and draft required regulatory applications for transactional files
  • Draft, review and ensure operations comply with internal governance documents
  • Monitor legislative, regulatory, case law and other changes in corporate and transactional law
  • Lead and influence practitioners on complex strategic initiatives involving multiple sectors
  • Serve as expert advisor and subject matter expert for senior management and decision-making bodies

Requirements

  • Bachelor's degree in a related field
  • A minimum of eight years of relevant experience, including six years in business, corporate or transactional law (mergers and acquisitions)
  • Other combinations of qualifications and relevant experience may be considered
  • Member of the Quebec Bar
  • Knowledge of French is required
  • Advanced proficiency of English required due to the nature of the duties, work tools, or interactions with English-speaking partners, members and/or clients
  • Extensive, in-depth knowledge of corporate and transactional law
  • Analytical skills and comprehensive understanding of the business and organization
  • Interpersonal savvy and ability to coordinate with many stakeholders
