Legal Counsel advising Export Development Canada on corporate and mid-market lending, investments, contracts and compliance. Drafting and negotiating transactions while mitigating legal and business risks.
Responsibilities
Support Canadian businesses to succeed globally through financial tools and expertise
Provide legal services for loans, investments, insurance transactions and knowledge business products
Support EDC’s corporate functions, including procurement and marketing activities
Advise on corporate lending and mid-market lending during origination and back-office functions
Support and advise other areas within EDC Legal Services as needed
Participate in transaction development and structuring, negotiation and documentation
Identify issues requiring risk mitigation and corporate perspective
Draft legal documentation
Handle asset management matters, including waivers, consents and amendments
Provide legal advice on EDC contracts, internal documentation, policies, authorization and compliance requirements
Interpret the Export Development Act, Financial Administration Act and other relevant statutes
Retain and supervise foreign and domestic outside counsel
Review and comment on outside counsel documents and advice
Collaborate with legal and business teams
Requirements
Undergraduate degree in Law
Applicants must be licensed by a Canadian provincial bar and in good standing to practice law as a barrister and solicitor in any Canadian province or territory
Minimum of 3 years (Legal Services 17) or 5 years (Legal Services 18) of relevant legal experience
Strong written and verbal communication skills, including strong drafting skills
Ability to multitask and manage a high volume of tasks and transactions effectively and efficiently
Proactive lawyering and risk mitigation skills acquired in a commercially oriented, dynamic environment
Strong judgment and decision-making qualities
Collaborative approach with Legal Services and other EDC teams
Strong influencing and negotiation skills
Ability to work legally in Canada at the time of application preferred
Must meet requisite government security screening requirements
