About the role

  • Senior Contract Manager building Foundation’s scalable contract practice for enterprise growth. Owning negotiations, templates, workflows, counsel escalation, and contract knowledge systems remotely across the US and Canada.

Responsibilities

  • Own full-cycle contract drafting and negotiation across new client contracts, client-provided templates, change orders, extension orders, vendor contracts, MNDAs, employment contracts, and independent contractor/freelancer agreements
  • Draft and negotiate client MSAs/SOWs from company templates and manage client review and redline processes
  • Own content mapping and negotiation for client MSA/SOW templates
  • Draft and manage change orders and extension orders against standing MSA/T&C terms
  • Draft and negotiate vendor contracts, cross-referencing vendor terms with supporting client contracts for scope, IP, and confidentiality consistency
  • Own escalation decisions and serve as the sole point of contact with outside counsel
  • Review insurance and liability terms, coordinate with People Ops on coverage specifics, and complete InfoSec questionnaires when required
  • Audit active SOWs and change orders against governing MSA terms to identify scope creep
  • Harmonize the contract template library across client, vendor, employment, contractor, freelancer, and change-order documents
  • Document and implement contract accept/reject policies and escalation thresholds
  • Own contract intake and storage through ClickUp, Google Drive, and related workflows
  • Contribute to an AI-assisted contract knowledge tool for account and delivery teams
  • Configure and maintain DocuSign/PandaDoc for e-signature, tracking, and lifecycle metadata
  • Establish a scalable contract management function and ensure contracts are reviewed within two business days

Requirements

  • 6+ years of experience in contract management, paralegal, or contracts-counsel work
  • Ideally experience within B2B SaaS, marketing/agency, or professional services
  • Demonstrated independent drafting and negotiation of MSAs, SOWs, vendor contracts, and change orders
  • Strong working fluency in US and Canadian contract law fundamentals, including indemnification, liability caps, IP/usage rights, and data privacy basics
  • Ability to identify matters requiring outside counsel and brief counsel efficiently
  • Familiarity with GDPR, PIPEDA, and CCPA
  • Proven experience building a contract management function, workflow, or Customer Lifecycle Management tooling from scratch
  • Practical fluency with DocuSign, PandaDoc, ClickUp, and at least one AI-assisted knowledge or CLM tool
  • Ability to work independently in a remote, high-volume role and prioritize multiple concurrent contract types without close supervision
  • Comfortable working across US and Canadian jurisdictions with limited live overlap
  • Mountain Time overlap availability
