About the role

  • General Counsel leading legal, regulatory, compliance, and governance strategy for Kepler Communications’ commercial satellite connectivity business. Advising executives and the Board while overseeing global spectrum, licensing, and government affairs.

Responsibilities

  • Serve as strategic advisor to the CEO, executive leadership team, and Board of Directors
  • Develop and execute Kepler's global legal and regulatory strategy
  • Lead and develop the Legal and Regulatory Affairs organization
  • Build partnerships across Engineering, Product, Sales, Finance, HR, Security, and Operations
  • Present to executive leadership and the Board on legal, regulatory, compliance, and policy developments
  • Lead corporate legal matters, including contracts, partnerships, employment law, intellectual property, litigation, privacy, cybersecurity, and governance
  • Oversee mergers, acquisitions, investments, financing transactions, and strategic corporate initiatives
  • Manage corporate structure and legal entities across multiple jurisdictions
  • Ensure compliance with domestic and international laws
  • Develop scalable legal processes, templates, and governance frameworks
  • Manage global outside counsel and optimize legal spend
  • Lead global spectrum strategy, licensing, frequency planning, ITU coordination, and market access
  • Oversee engagement with FCC, ISED Canada, Ofcom, BNetzA, ITU, and other regulators
  • Direct spectrum filings, licensing, coordination, and interference mitigation
  • Represent Kepler in global policy discussions and industry forums
  • Develop global government relations strategy and relationships with agencies, associations, and policymakers
  • Support government and defense initiatives and represent Kepler externally
  • Lead enterprise compliance programs covering export controls, sanctions, anti-corruption, privacy, government contracting, ethics, and corporate compliance
  • Maintain Board governance processes and identify and mitigate enterprise legal and regulatory risks
  • Support internal investigations and risk management
  • Recruit, mentor, and develop Legal and Regulatory Affairs professionals
  • Establish priorities aligned with business strategy and foster cross-functional collaboration

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Licensed to practice law in the United States or Canada
  • 15+ years of progressively responsible legal leadership experience
  • Significant experience supporting executive leadership and Boards of Directors
  • Experience negotiating complex commercial agreements
  • Strong knowledge of corporate governance and international business law
  • Experience managing legal teams and outside counsel
  • Exceptional communication and executive presentation skills
  • Occasional on-site presence at the Toronto HQ location
