About the role

Responsibilities

  • Serve as a resource on governance best practices for iA Financial Group companies
  • Ensure the quality of minutes, resolutions, mandates and policies submitted to boards of directors
  • Develop, implement and apply processes related to boards of directors and the corporate secretariat
  • Contribute to the onboarding and training of directors
  • Oversee processes related to the compensation and evaluation of boards, committees and directors
  • Develop tools to support the drafting of corporate documents
  • Provide legal opinions on board governance and corporate law
  • Coordinate improvements to team processes and increase service efficiency
  • Collaborate on securities law, corporate governance, ethics and integrity matters
  • Support the Corporate Secretary of iA Financial Corporation
  • Coordinate meetings of the Governance and Ethics Risk Management Committee
  • Update the Subsidiary Governance Framework and ensure reporting and accountability
  • Advance subsidiary governance and ensure consistency in practices
  • Interpret and apply the Subsidiary Governance Framework
  • Coordinate corporate secretariat processes for the parent company and its subsidiaries
  • Develop and publish training for employees and stakeholders
  • Serve as Corporate Secretary for one or more subsidiaries
  • Exercise influence-based leadership and coach members of Legal Services and other stakeholders
  • Promote teamwork, collaboration and knowledge sharing
  • Establish and monitor the organization’s processes, policies and standards
  • Develop a governance community of practice
  • Oversee the performance of the services under your responsibility
  • Coordinate the team’s financial, material and human resources

Requirements

  • Member in good standing of a provincial bar
  • LL.B. or J.D. degree from a recognized university
  • Minimum of 10 years of experience in a corporate legal environment, including expertise in governance
  • Expertise in corporate governance, corporate secretariat matters and corporate law
  • Strategic thinker with strong business acumen and the ability to solve complex problems
  • Excellent judgment and ability to take ownership of complex mandates
  • Ability to manage ambiguity and demonstrate confidence, agility and flexibility
  • Strong interpersonal skills and a strong team orientation
  • Ability to influence at all levels of the organization
  • Ability to build and maintain relationships of trust with the team, managers, employees, directors and senior leadership
  • Influence-based leadership, ability to support and develop others, and commitment to knowledge sharing
  • Knowledge of the insurance and financial services industries is an asset
  • Advanced English-language proficiency
  • Ability to collaborate with stakeholders and draft documents intended for Canada and the United States
