About the role

  • Senior Corporate Counsel building ODAIA’s legal function for its AI-powered life-sciences intelligence platform. Negotiating enterprise agreements and developing privacy, data-governance, and AI-compliance programs.

Responsibilities

  • Report directly to the CFO and build ODAIA's legal function from the ground up
  • Work with the CFO, Chief Commercial Officer, and sales leaders on complex negotiations with enterprise customers and strategic partners
  • Draft, negotiate, and close enterprise SaaS, data licensing, MSA, and DPA agreements with pharma customers
  • Build contracting templates and playbooks to enable scalable contracting
  • Bridge Legal and Engineering by reviewing technical specifications and contract schedules for risk
  • Translate AI-related obligations such as bias testing, audits, and model documentation into internal action items
  • Manage export-control and restricted-party obligations
  • Architect the privacy and data-governance program across applicable legal and AI-governance frameworks
  • Manage board resolutions, equity plan administration, IP assignment hygiene, insurance, and vendor agreements
  • Partner with Sales, Revenue Operations, Technology, and Business Acceleration to identify risk early and accelerate reviews and negotiations
  • Represent ODAIA directly with external procurement teams
  • Contribute legal and risk updates for the executive team and Board

Requirements

  • 8+ years of relevant experience
  • J.D. or LL.B. required
  • Good standing with a Canadian provincial bar required
  • Familiarity with AI, machine learning, or legal technology sectors
  • Strong drafting and negotiation skills for commercial agreements, including MSAs, order forms, DPAs, and NDAs
  • Ability to redline and iterate contracts and provide clear recommendations with minimal guidance
  • Excellent communication skills and ability to explain legal concepts to non-legal stakeholders
  • Technical or engineering background, or strong fluency working with engineering teams, is a plus
  • Builder mentality and ability to create playbooks and systems
  • Ability to manage multiple high-stakes, confidential matters simultaneously in a fast-paced environment
